You acknowledge the Shannon Sullivan’s and Megan Sullivan’s rights in Enlitened Life’s Trademarks and agree that any use of Enlitened Life’s Trademarks by You shall inure to the Enlitened Life’s sole benefit. You agree not to incorporate any of the Enlitened Life’s Trademarks into your trademarks, service marks, Shannon Sullivan’s and Megan Sullivan’s names, internet addresses, domain names, or any other similar designations, for use on or in connection with computer or internet-related products, services or technologies. 11. INDEMNITY
You agree to defend, indemnify and hold Enlitened Life, Shannon Sullivan and Megan Sullivan and their officers, directors, affiliates, subsidiaries, partners, agents, licensors, licensees, suppliers, employees and representatives (collectively, the “Indemnified Parties”) harmless from any claim or demand, including reasonable attorneys’ fees and other legal costs and fees arising out of or relating to (a) Your breach of the Agreement, (b) Your access to our use of the Site, the Site Materials, and/or the Content, (c) Your provision to the Indemnified Parties of information or other data and/or (d) Your violation of any rights of any third party based on or related to Your use of the Site.

YOU ASSUME ALL RISK FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM USE OF, OR OBTAINING ANY CONTENT FROM, THE SITE, INCLUDING WITHOUT LIMITATION ANY DAMAGES RESULTING FROM VIRUSES.

14. LIABILITY LIMITATION
TO THE FULL EXTENT PERMITTED BY LAW, Enlitened Life, Shannon Sullivan and Megan Sullivan ARE NOT LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF BUSINESS, REVENUE, PROFITS, GOODWILL, USE, DATA OR ECONOMIC ADVANTAGE ARISING OUT OF OR IN CONNECTION WITH THE SITE, EVEN IF Enlitened Life, Shannon Sullivan and Megan Sullivan HAVE PREVIOUSLY BEEN ADVISED OF, OR REASONABLY COULD HAVE FORESEEN, THE POSSIBILITY OF SUCH DAMAGES, HOWEVER THEY ARISE, WHETHER IN BREACH OF CONTRACT OR IN TORT (INCLUDING NEGLIGENCE), INCLUDING WITHOUT LIMITATION DAMAGES DUE TO: (a) THE USE OF OR THE INABILITY TO USE THE SITE; (b) THE COST OF PROCUREMENT OF SUBSTITUTE CONTENT RESULTING FROM ANY DATA, INFORMATION OR CONTENT OBTAINED, OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO, THROUGH OR FROM THE SITE; (c) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SITE, INCLUDING WITHOUT LIMITATION UNAUTHORIZED ACCESS TO OR ALTERATION OF TRANSMISSIONS OR DATA, MALICIOUS OR CRIMINAL BEHAVIOR, OR FALSE OR FRAUDULENT TRANSACTIONS; OR (d) CONTENT OR INFORMATION YOU MAY DOWNLOAD, USE, MODIFY, OR RELY UPON. 15. DISCLAIMER OF WARRANTY; LIMITATIONS
UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL Enlitened Life, Shannon Sullivan and Megan Sullivan OR THIRD PARTIES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF DATA OR PROFIT, ARISING OUT OF THE USE, OR THE INABILITY TO USE, THE WEBSITES, THE WEB SERVICES, Enlitened Life, Shannon Sullivan’s and Megan Sullivan’s SERVICES OR ANY PORTION THEREOF, EVEN IF Shannon Sullivan and Megan Sullivan OR Shannon Sullivan’s and Megan Sullivan’s AUTHORIZED REPRESENTATIVE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF YOUR USE OF THE WEBSITES, THE WEB SERVICES OR Enlitened Life, Shannon Sullivan and Megan Sullivan SERVICES YOU ASSUME ANY AND ALL COSTS ASSOCIATE WITH SUCH USE. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

UNDER NO CIRCUMSTANCES ARE Enlitened Life, Shannon Sullivan and Megan Sullivan, THEIR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS LIABLE FOR ANY INCIDENTIAL, CONSEQUENTIAL, PUNITIVE OR SPECIAL DAMAGES OF ANY NATURE WHATSOEVER INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR LOSS OF BUSINESS. THIS SECTION SHALL ALSO SURVIVE THE TERMINATION OF THIS AGREEMENT.

IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE Enlitened Life, Shannon Sullivan and Megan Sullivan’s WEBSITES OR SERVICES OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE ENLITENED LIFE’S WEBSITES AND SERVICES.

16. YOUR REPRESENTATIONS AND WARRANTIES
You represent and warrant that Your use of the Site, the Site Materials, and the Content will be in accordance with the Agreement and any other policies of Enlitened Life, as well as any applicable laws or regulations.

17. FORCE MAJEURE
You acknowledge and understand that if Enlitened Life, Shannon Sullivan and Megan Sullivan are unable to provide any of their Services as a result of a force majeure event Enlitened Life, Shannon Sullivan and Megan Sullivan will not be in breach of any of their obligations towards You under this Agreement. A force majeure event means any event beyond the control of Enlitened Life, Shannon Sullivan and Megan Sullivan. In the event Enlitened Life, Shannon Sullivan and Megan Sullivan are affected by a force majeure event, it shall promptly notify You of the estimated extent and duration of their inability to perform or delay in performing their obligations, on a reasonable efforts basis. Enlitened Life, Shannon Sullivan and Megan Sullivan SHALL NOT HAVE ANY LIABILITY TO YOU WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER FORM OF LIABILITY FOR FAILING TO PERFORM THEIR OBLIGATIONS UNDER THIS AGREEMENT TO THE EXTENT THAT SUCH FAILURE IS AS A RESULT OF A FORCE MAJEURE EVENT.

18. NO WAIVER OF RIGHTS
Enlitened Life, Shannon Sullivan and Megan Sullivan’s failure to enforce any rights granted in this Agreement or to take action against any other party in the event of any breach shall not be deemed a waiver by it as to subsequent enforcement of rights or subsequent actions in the event of future breaches.

Should any term of this Agreement be declared void or unenforceable, that term shall be severed from the Agreement such declaration shall have no effect on the enforceability of the remaining terms.

This Agreement contains the complete and entire understanding and agreement between you and us and supersedes any previous communications, representations, or agreements, verbal or written, related to the subject matter of this Agreement.

This Agreement may not be modified or amended orally, impliedly, or in any manner not set forth in writing or permitted by this Agreement.

This Agreement may be amended by __________________ at any time and without notice, but only by amending this Agreement as posted on the websites, unless otherwise agreed to in a writing signed by both of us.

Any amendments will become effective immediately after being posted on the websites. As a condition for this Agreement you agree to periodically check this Agreement posted at this page.
